Your Terms at a Glance

A few things to know upfront:

Financial advice: Trade Copilot lets you have intelligent AI-powered conversations about your trading — it is not a financial advisor, broker, or trading bot. Everything it produces is for informational purposes only. You make all trading decisions yourself. See Section 13.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Trade Copilot LTD (“Trade Copilot,” “we,” “us,” or “our”), a limited liability company registered in Okolovrasten pat 60V Blvd., fl. 4, office 16, Sofia, Bulgaria, UIC 208764692, governing your access to and use of the Trade Copilot platform, website, applications, and all related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.

These Terms, together with the Privacy Policy and any applicable subscription confirmation, constitute the entire agreement between you and Trade Copilot with respect to the Service.

1.1 Risk Acknowledgment

Before accessing AI-powered features of the Service, you will be asked to separately and affirmatively acknowledge that you have read and understood the financial and trading disclaimers in Section 13, including the risks of relying on AI-generated analysis, the risk of financial loss from cryptocurrency trading, and the fact that the Service does not provide financial advice. You represent that you have sufficient knowledge and experience in financial matters to evaluate the risks of cryptocurrency trading and to bear the financial risks thereof. You understand that AI-generated analysis is not a substitute for your own judgment and due diligence.

2. Definitions

“Service” means the Trade Copilot platform, including the website, web application, API, AI-powered analysis features, and all related tools and functionalities.

“Exchange API Key” means a read-only application programming interface credential generated by a third-party cryptocurrency exchange and provided by you to Trade Copilot for the purpose of accessing your exchange data.

“AI Output” means any text, analysis or other content generated by AI models through the Service, including but not limited to Daily Briefs, Setup Analysis, Setup Generations, Live Trade Reviews, Trade Reviews, Performance Reviews, and AI Chat responses.

“Subscription” means a paid plan granting access to the Service for a defined period (monthly or annual).

“User Data” means all data you provide to or generate through the Service, including account information, Exchange API Keys, trading data, and AI conversation history.

“AI Credits” means prepaid service credits purchased by you (or granted as promotional credits) that are consumed when you use AI-powered features of the Service. AI Credits are not electronic money, stored value, or a financial instrument, and have no cash value.

3. Eligibility

To use the Service, you must:

You represent and warrant that all information you provide during registration and use of the Service is accurate, current, and complete, and that you will promptly update such information as necessary.

We reserve the right to refuse or restrict access to the Service at our discretion — for example, to comply with legal requirements, enforce sanctions obligations, or protect the security of the platform.

4. Account Registration and Security

4.1 One User Per Subscription

Each Subscription is licensed to a single, named user. You may not share your account credentials, allow others to access your account, or transfer your Subscription to another person. Each individual who wishes to use the Service must maintain their own separate account and Subscription.

If we detect that an account is being shared or accessed by multiple individuals, we reserve the right to suspend or terminate the account and/or require the purchase of additional Subscriptions.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

5. Description of the Service

5.1 What Trade Copilot Is

Trade Copilot is an AI-powered platform that enables cryptocurrency traders to have intelligent conversations with AI about their trading. The Service connects to your exchange accounts via read-only API keys and gives AI models the market context and trading data they need to provide meaningful, informed analysis of your trading activity.

Core features include (and may evolve over time):

Feature names are descriptive labels, not advisory claims. Names such as “Daily Briefs,” “Setup Generation,” “Setup Analysis” and “Mistake Radar” describe categories of AI-generated analytical output. They do not imply that the Service provides personalized financial plans, trading signals, investment recommendations, or professional advisory services. All features produce general analytical commentary based on market data and your trading history. No feature output constitutes a recommendation to take or refrain from any specific trading action. You must independently decide whether and how to act on any information the Service provides.

5.2 What Trade Copilot Is Not

Trade Copilot is not, and does not provide, any of the following:

Trade Copilot does not execute trades, manage funds, or access withdrawal capabilities on any exchange. The Service operates exclusively with read-only API credentials.

5.3 AI Transparency

In accordance with the EU AI Act (Regulation 2024/1689), we inform you that: all analysis and outputs generated by the Service are produced by third-party artificial intelligence systems (currently large language models from OpenAI and Anthropic), not by human analysts. The AI systems are non-deterministic — the same input may produce different outputs at different times. AI models may be updated, changed, or replaced, which may affect the nature or quality of outputs. You are always interacting with AI, not a human advisor.

6. Exchange API Keys and Read-Only Access

6.1 Read-Only Requirement

When connecting your exchange account to Trade Copilot, you must provide API keys configured with read-only (view) permissions only. You are solely responsible for ensuring that your API keys do not grant trade, withdrawal, or transfer permissions.

Trade Copilot is designed to function exclusively with read-only API keys and we take responsibility for ensuring our software only makes read-only API calls. If you provide keys with permissions beyond read-only access, we strongly recommend that you revoke them and generate properly restricted ones. You are responsible for ensuring your API keys are configured with read-only permissions as instructed.

By providing your Exchange API Key to Trade Copilot, you instruct Trade Copilot to access, retrieve, and process account data from your connected exchange(s) using the read-only permissions associated with that key, for the purposes described in these Terms and in our Privacy Policy.

6.2 Your Responsibilities

You acknowledge and agree that:

6.3 No Liability for Exchange Actions

Trade Copilot has no control over, and accepts no responsibility for, the actions, policies, outages, security incidents, or data handling practices of any third-party cryptocurrency exchange. Your relationship with any exchange is governed entirely by that exchange’s own terms and policies.

Data retrieved from exchanges via API may be delayed, incomplete, or temporarily unavailable due to exchange rate limits, API throttling, network latency, or maintenance. Trade Copilot does not guarantee that exchange data used in AI analysis reflects current market conditions at the time you view any AI Output.

7. Subscription, Billing, and Payment

7.1 Subscription Plans

Access to the Service requires a paid Subscription. Subscriptions are available on a monthly or annual basis. Details of current plans and pricing are displayed on our website and may be updated from time to time.

Annual Subscriptions are billed as a single upfront payment for the full year at a discounted rate compared to the monthly Subscription.

7.2 Free Trial

New users are eligible for a 7-day free trial of the Service. The free trial provides full access to all features of the Service. At the end of the free trial period, your Subscription will automatically convert to a paid monthly Subscription unless you cancel before the trial period expires.

We will notify you at least 3 days before the trial period ends. You may cancel the trial at any time without charge by following the cancellation process in your account settings.

Each person is entitled to one free trial only. We reserve the right to refuse a free trial to anyone we reasonably believe has previously used a free trial, including through a different email address or account.

7.3 Billing and Payment

Payments are processed through our third-party payment processors (currently Polar for card payments and Coinbase Commerce for cryptocurrency payments). By subscribing, you authorize us (through our payment processors) to charge your chosen payment method on a recurring basis according to your selected billing cycle (monthly or annually).

All prices are displayed inclusive of applicable taxes where required by law. You are responsible for any taxes that may apply to your Subscription based on your jurisdiction.

7.4 Price Changes

We may change Subscription prices from time to time. If we increase the price of your Subscription, we will provide you with at least 30 days’ written notice before the new price takes effect. The new price will apply at the start of your next billing cycle following the notice period. If you do not agree to the price change, you may cancel your Subscription before the new price takes effect.

7.5 Failed Payments

If a payment fails, we will attempt to process the charge again and notify you by email. If payment remains unsuccessful after reasonable retry attempts, we may suspend or downgrade your access to the Service until payment is resolved. We will not terminate your account or delete your data due to failed payment without first providing you with reasonable notice and opportunity to resolve the issue.

7.6 AI Credits

Nature of AI Credits. AI-powered features of the Service consume AI Credits based on the cost of processing your requests through third-party AI providers. AI Credits represent a prepaid right to use AI-powered features of the Service. They are not electronic money, stored value, currency, or a financial instrument. AI Credits are non-transferable between accounts and are not redeemable for cash.

Purchase and Use. You may purchase AI Credits through the Service at any time. The minimum purchase amount is $10 (USD). Credits are available immediately upon successful payment and are consumed based on actual AI processing costs at the rates displayed within the Service. We recommend purchasing credits in amounts you expect to use in the near term.

Promotional Credits. New users receive promotional AI Credits upon account creation. Promotional credits expire 90 days after account creation, are non-transferable, have no cash value, and cannot be redeemed for cash. We may modify or discontinue the promotional credits program for new users at any time.

Expiration. Purchased AI Credits expire on the earlier of: (a) twelve (12) months from the date of purchase; or (b) the date your Subscription ends (whether through cancellation, non-renewal, or termination). Promotional credits expire as described above. Expired credits cannot be restored.

AI Credits Require an Active Subscription. AI Credits can only be used while you have an active Subscription. If your Subscription is cancelled, credits remain usable until your current billing period ends. After your Subscription expires, any remaining credits are forfeited. We encourage you to use your credits before your Subscription ends.

Non-Refundable. AI Credits are non-refundable once purchased, except: (a) where a duplicate or erroneous charge has occurred; (b) where the Service is materially unavailable for an extended period due to a fault attributable to Trade Copilot; or (c) where a refund is required by applicable law. To request a refund under these exceptions, contact us at support@tradecopilot.app.

Rate Changes. AI processing rates may change from time to time to reflect changes in underlying provider costs. We will provide at least 14 days’ notice of rate changes. Rate changes do not affect the validity of previously purchased credits — only the rate at which they are consumed.

8. Refund Policy

8.1 30-Day Money-Back Guarantee

If you are not satisfied with the Service, you may request a full refund within 30 days of your first paid Subscription purchase. This guarantee applies to the initial purchase of a Subscription only and may be used once per person.

To request a refund, contact us at support@tradecopilot.app within the 30-day period. Refunds will be processed to the original payment method within 14 business days.

8.2 Annual Subscriptions

For annual Subscriptions, the 30-day money-back guarantee applies from the date of initial purchase. If you cancel an annual Subscription after the 30-day period, no refund or pro-rata credit will be issued for the remaining term, unless required by applicable law.

8.3 Renewals

The 30-day money-back guarantee does not apply to renewal payments (whether monthly or annual). Renewal payments are non-refundable, except as required by applicable consumer protection law.

8.4 EU Consumer Right of Withdrawal

If you are a consumer in the European Union or European Economic Area, you have a statutory right to withdraw from this contract within 14 days of your Subscription purchase without giving any reason. During the sign-up process, you will be asked to give your prior express consent for the Service to begin during the withdrawal period, and to acknowledge that by giving such consent you will lose your right of withdrawal once the Service has been fully performed. We will send you confirmation of this consent by email. To exercise your right of withdrawal, inform us by a clear statement (e.g., email to the support address in Section 24). We will reimburse all payments without undue delay and in any event within 14 days, using the same payment method.

8.5 AI Credit Purchases and EU Right of Withdrawal

When you purchase AI Credits, you will be asked to give your prior express consent for the credits to be made available immediately and to acknowledge that you lose your right of withdrawal once the credits are added to your account. This is because AI Credits are digital content that becomes available for use immediately upon purchase.

9. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

If we reasonably believe you are violating these acceptable use terms, we may suspend or limit your access. For serious violations (such as illegal activity, fraud, or security threats), we may act immediately without prior notice. For other violations, we will notify you and give you a reasonable opportunity to address the issue before suspending your access.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including all software, code, algorithms, interfaces, designs, text, graphics, logos, trademarks, and other materials (excluding User Data and AI Outputs), is owned by or licensed to Trade Copilot and is protected by copyright, trademark, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own use in connection with your trading activity (whether personal or professional, but not for redistribution or resale), subject to these Terms. This license does not include the right to sublicense, modify, distribute, or create derivative works of the Service.

10.2 Your Data

You retain full ownership of all User Data you provide to the Service, including your trading data, exchange information, and any content you create within the platform. By using the Service, you grant Trade Copilot a limited, non-exclusive license to process, store, and display your User Data solely for the purpose of providing and operating the Service for you.

This license terminates when you delete your account and your data has been removed in accordance with our data retention policy.

10.3 AI Outputs

AI Outputs are generated using a combination of your User Data, market data, and third-party AI models. You are granted a non-exclusive, personal license to use AI Outputs for your own use in connection with your trading activity.

You acknowledge that:

10.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant Trade Copilot a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Service without any obligation to you. This license does not affect your rights under applicable data protection law, including the right to request erasure of personal data contained in your feedback.

11. Third-Party Services

The Service integrates with and relies upon various third-party services, including but not limited to: cryptocurrency exchanges (via API), AI model providers (currently OpenAI and Anthropic), market data providers, payment processors, and cloud infrastructure providers.

We do not control these third-party services and are not responsible for their availability, accuracy, security, or content. Your use of any third-party service is at your own risk and subject to that service’s own terms and policies.

We are not liable for any loss, damage, or inconvenience caused by outages, errors, changes, or discontinuation of any third-party service, including but not limited to exchange API downtime, AI model unavailability, market data delays, or payment processing failures.

12. Service Availability and Modifications

12.1 Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to maintenance, updates, technical issues, third-party outages, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of scheduled maintenance that may affect Service availability.

12.2 Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. If we make material changes that significantly reduce the core functionality of the Service, we will provide you with at least 30 days’ notice. In such cases, you may cancel your Subscription and receive a pro-rata refund for any prepaid unused period.

12.3 Beta Features

From time to time, we may offer beta or experimental features. Beta features are provided “as is” without warranty and may be modified or removed at any time. By using beta features, you accept the additional risk inherent in pre-release functionality.

13. Financial and Trading Disclaimer

This section explains Trade Copilot’s position on financial advice and trading risk. It is important context for how you should use the Service.

13.1 Not Financial Advice

Trade Copilot provides AI-generated analysis for informational and educational purposes only. Nothing produced by or available through the Service constitutes financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice.

No AI Output, feature, tool, or communication from Trade Copilot should be interpreted as a recommendation to buy, sell, hold, or otherwise transact in any financial instrument, cryptocurrency, or asset. No AI Output should be interpreted as a guarantee or prediction of future performance, price, or market direction.

The Service does not constitute a “personal recommendation” within the meaning of Directive 2014/65/EU (MiFID II), nor “investment advice” under the U.S. Investment Advisers Act of 1940, nor “advice on crypto-assets” within the meaning of Regulation (EU) 2023/1114 (MiCA). Although certain features analyze your trading data and market context, the Service applies general analytical processes and does not assess your overall financial situation, investment objectives, risk tolerance, or suitability for any particular trade or asset class. The Service does not provide personal recommendations — it does not recommend specific entry or exit prices as actionable instructions, and does not proactively alert you to execute specific transactions.

13.2 Your Sole Responsibility

All trading and investment decisions are made solely by you, at your own risk. You are solely responsible for evaluating the merits, risks, and suitability of any trade or investment. Trade Copilot does not know your financial situation, risk tolerance, investment objectives, or tax circumstances, and does not take any of these factors into account when generating AI Outputs.

13.3 Risk of Loss

Trading in cryptocurrency and other financial instruments involves substantial risk of loss and is not suitable for all individuals. You may lose some or all of your invested capital. Past performance — whether your own historical results or patterns identified by AI analysis — is not indicative of future results. Markets are volatile, unpredictable, and subject to factors outside the scope of any analytical tool.

13.4 No Regulatory Status

Trade Copilot is not registered, licensed, or authorized as an investment advisor, broker-dealer, financial planner, commodity trading advisor, or any other type of regulated financial service provider in any jurisdiction, including but not limited to the European Union, the United States, or the United Kingdom.

The Service is not intended to be used, and must not be used, as a substitute for professional financial advice from a qualified, licensed advisor.

Without limiting the foregoing, Trade Copilot is not registered as a Commodity Trading Advisor, Commodity Pool Operator, or Associated Person with the U.S. Commodity Futures Trading Commission or the National Futures Association. The Service does not constitute a signal service, copy-trading platform, or trade alert provider. It does not issue “signals,” “calls,” or instructions to execute specific trades at specific times or prices.

13.5 AI Limitations

AI-generated analysis may contain errors, inaccuracies, inconsistencies, hallucinations, omissions, or outdated information. AI models are statistical systems that generate outputs based on patterns in training data and the context provided; they do not possess judgment, expertise, or understanding of financial markets in the way a human expert does.

You should always critically evaluate AI Outputs, verify information independently, and exercise your own judgment before making any trading decision.

AI models may generate outputs that reference specific price levels, technical indicators, historical data points, or statistical metrics that are inaccurate, fabricated, or do not correspond to actual market data. Such outputs may appear authoritative but are generated by statistical pattern matching, not by querying verified data sources. You must never rely solely on AI-generated price levels, statistics, or historical references without independent verification from your exchange or a trusted market data provider.

13.6 No Fiduciary or Advisory Relationship

Your use of the Service does not create a fiduciary relationship, advisory relationship, brokerage relationship, or relationship of trust and confidence between you and Trade Copilot. Trade Copilot owes you no fiduciary duty, duty of loyalty, or duty of care beyond what is expressly stated in these Terms. Trade Copilot does not act as your agent, trustee, broker, or advisor. You are an independent user making your own independent trading decisions. This applies regardless of the degree to which you use AI Outputs or the frequency of your use of the Service.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Trade Copilot expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

No advice or information, whether oral or written, obtained by you from Trade Copilot or through the Service shall create any warranty not expressly stated in these Terms.

If you are a consumer in the European Union, this disclaimer does not affect your mandatory statutory rights under applicable EU consumer protection law, including the EU Consumer Rights Directive.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

15.1 Exclusion of Certain Damages

In no event shall Trade Copilot, its founder, directors, officers, employees, agents, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Trade Copilot has been advised of the possibility of such damages.

15.2 Aggregate Liability Cap

For users who are consumers in the European Union or European Economic Area, our total aggregate liability shall not exceed the total amount you paid to Trade Copilot during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater, except where applicable mandatory law provides otherwise.

For all other users, our total aggregate liability shall not exceed the greater of: (a) the total amount you paid to Trade Copilot during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) fifty euros (€50).

15.3 Essential Purpose

You acknowledge that Trade Copilot has set its prices and entered into these Terms in reliance upon the limitations of liability and the disclaimers of warranties set forth herein, and that the same form an essential basis of the bargain between the parties.

15.4 Mandatory Consumer Rights

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including (without limitation) liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, and any liability that cannot be excluded or limited under EU consumer protection law applicable to your jurisdiction of residence.

16. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Trade Copilot, its founder, officers, employees, agents, and affiliates from and against claims, damages, and expenses (including reasonable legal fees) arising from:

This Section 16 does not apply to you if you are a consumer in the European Union, European Economic Area, or the United Kingdom.

17. Termination

17.1 Termination by You

You may cancel your Subscription and terminate your account at any time through your account settings or by contacting us. Upon cancellation:

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that your personal data will be collected, processed, and stored as described in the Privacy Policy, in accordance with the legal bases set out therein.

Please review the Privacy Policy at http://tradecopilot.app/privacy to understand how we collect, use, and protect your personal data, including Exchange API Keys and trading data. In the event of a personal data breach, our obligations are as set out in the Privacy Policy and applicable data protection law.

19. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Service and cancel your Subscription before the effective date. In such cases, if you have prepaid for an annual Subscription, you will receive a pro-rata refund for the remaining unused term.

For changes to the Privacy Policy specifically, the notice period set out in the Privacy Policy applies.

20. Force Majeure

Trade Copilot shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, sanctions, pandemic, epidemic, power or telecommunications failures, internet or network outages, cyberattacks, exchange outages or closures, AI model provider outages, and changes in applicable law or regulation. If a force majeure event continues for more than ninety (90) consecutive days, either party may terminate these Terms by written notice, and you will be entitled to a pro-rata refund of any prepaid Subscription fees for the period of non-availability.

21. Arbitration Agreement and Class Action Waiver (United States)

THIS SECTION APPLIES ONLY TO USERS RESIDING IN THE UNITED STATES. PLEASE READ IT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

21.1 Agreement to Arbitrate

You and Trade Copilot agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Trade Copilot (collectively, “Disputes”) shall be resolved exclusively through final and binding individual arbitration, rather than in court. You and Trade Copilot each waive the right to a trial by jury.

21.2 Arbitration Rules and Procedure

Arbitration shall be administered by a recognized arbitration institution mutually agreed upon by the parties, or if the parties cannot agree, under the rules of the International Centre for Dispute Resolution (ICDR), a division of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, in English, and shall take place remotely (by videoconference or telephone) unless the arbitrator determines that an in-person hearing is necessary.

The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, enforceability, and arbitrability of this arbitration agreement. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

21.3 Class Action Waiver

YOU AND TRADE COPILOT AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative, class, or multi-party proceeding.

21.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

21.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@tradecopilot.app within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the Governing Law and Jurisdiction provision in Section 22 shall apply to all Disputes.

21.6 Severability

If any portion of this arbitration agreement is found to be unenforceable, the remaining portions shall remain in full force and effect. If the class action waiver (Section 21.3) is found to be unenforceable with respect to a particular claim or request for relief, then that particular claim or request for relief shall be severed from the arbitration and may be litigated in court, while all remaining claims shall continue to be arbitrated.

22. Governing Law and Jurisdiction

For users outside the United States, or for US users who have opted out of arbitration under Section 21.5:

These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law provisions.

Any Dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.

If you are a consumer in the European Union, European Economic Area, or the United Kingdom, nothing in this section deprives you of the protection afforded by the mandatory provisions of the consumer protection law of your country of residence. You may bring proceedings in the courts of your country of residence, and EU consumers may also use the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

23. General Provisions

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Subscription confirmation, constitute the entire agreement between you and Trade Copilot regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals regarding the Service. Nothing in this clause excludes or limits liability for fraud or fraudulent misrepresentation.

23.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

23.3 Waiver

The failure of Trade Copilot to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Trade Copilot.

23.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided that the assignee agrees to be bound by these Terms. We will notify you of any such assignment within a reasonable time.

23.5 Notices

All notices from Trade Copilot to you will be sent to the email address associated with your account, or posted within the Service. You are responsible for keeping your email address current. All notices from you to Trade Copilot should be sent to the contact email addresses specified in these Terms.

23.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Trade Copilot. You have no authority to bind Trade Copilot in any way.

23.7 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
